Welcome to Bani Rugs.

These Terms of Service ("Terms") govern your access to and use of banirugs.com (the "Site"), including purchases, customer accounts, product reviews, custom-order inquiries, and other services made available through the Site (collectively, the "Services").

Bani Rugs is a brand operated by KARAHOME Solutions, Inc., a New York corporation located in Wappingers Falls, New York, United States. References in these Terms to "Bani Rugs," "we," "us," and "our" mean KARAHOME Solutions, Inc. operating the Bani Rugs brand.

By accessing the Site, creating an account, submitting an order, or otherwise using our Services, you agree to these Terms and to the policies referenced in them. If you do not agree, please do not use the Services.

1. About Our Store

Bani Rugs offers handmade Moroccan rugs, including one-of-a-kind rugs and products that may be made or customized to customer specifications.

Our online store is powered by Shopify, which provides the e-commerce technology that allows us to offer our products and Services online.

We may introduce, remove, modify, or update products, features, collections, or Services at any time.

2. Eligibility and Use of the Site

You may use the Site only for lawful purposes.

By making a purchase through the Site, you represent that you have reached the age of majority in your jurisdiction or are otherwise legally able to enter into a binding agreement.

You agree not to use the Site or Services:

• For unlawful or fraudulent purposes.
• To violate another person's intellectual property or other legal rights.
• To interfere with the operation or security of the Site.

3. Handmade Rugs and Natural Variations

Bani Rugs specializes in handmade products.

Handwoven rugs are fundamentally different from mass-produced, machine-made products. Individual variations are part of their handmade character.

Variations may include differences in:

• Pattern placement
• Shape
• Dimensions
• Color or shade
• Wool texture
• Pile height
• Weaving
• Fringe
• Edges
• Symmetry
• Finishing

These characteristics do not necessarily indicate a defect.

Dimensions listed on product pages are intended to accurately represent each rug, but small variations may occur because handmade rugs are not produced to machine-level tolerances.

For one-of-a-kind rugs, the product you purchase may be the only available piece of that particular design.

4. Product Photos and Colors

We make reasonable efforts to present our rugs accurately through photographs, descriptions, dimensions, and other product information.

However, colors may appear differently depending on your:

• Screen
• Device
• Display settings
• Lighting conditions

Natural wool and handmade dyes may also appear different under daylight, artificial light, or from different viewing angles.

Accordingly, we cannot guarantee that the color displayed on your device will perfectly reproduce the appearance of the physical rug.

Customers should review product photographs, descriptions, and dimensions carefully before ordering.

5. One-of-a-Kind Products and Availability

Many Bani Rugs products may be unique or available in very limited quantities.

Placing a product in your shopping cart does not reserve that product.

All orders remain subject to product availability and our acceptance of the order.

Although we work to keep inventory accurate, circumstances may occasionally result in a rug becoming unavailable after an order is placed.

If we cannot fulfill an order for a product you purchased, we will notify you and refund the applicable amount paid for that unavailable product.

6. Custom-Made Rugs

Bani Rugs may offer rugs produced according to customer-selected dimensions, designs, colors, or other specifications.

Custom rug orders may require additional information, approvals, production time, or separate terms before production begins.

Because handmade production involves individual craftsmanship, a completed custom rug may contain reasonable variations in size, color, pattern, texture, and appearance compared with photographs, digital representations, samples, or design references.

Any specific cancellation, modification, deposit, production, return, or refund conditions applicable to a custom-made rug will be communicated through the applicable product page, quotation, invoice, custom-order agreement, or our Return & Refund Policy.

Where specific custom-order terms are provided and accepted as part of your purchase, those terms will apply to that custom order in addition to these Terms.

Nothing in this section limits any consumer right that cannot legally be waived.

7. Orders and Order Acceptance

When you place an order, you agree that the information you provide is complete and accurate.

Submitting an order does not guarantee that we will accept or fulfill it.

We may refuse, limit, or cancel an order when reasonably necessary, including because of:

• Product unavailability.
• Incorrect pricing or product information.
• Suspected fraud or unauthorized payment.
• Payment processing problems.
• Shipping restrictions.
• Errors affecting the order.
• Purchases that reasonably appear intended for unauthorized resale.

If we cancel an order after payment has been collected, we will refund the applicable amount to the original payment method, subject to the payment provider's processing procedures.

8. Pricing, Taxes and Payment

Product prices displayed on the Site may change without notice.

The price applicable to an order is generally the price displayed during checkout when the order is submitted, subject to correction of obvious errors and applicable law.

Depending on your location and order, additional amounts may include taxes, shipping charges, customs duties, import fees, or other charges disclosed during checkout or under our Shipping Policy.

Shipping may be affected by circumstances outside our reasonable control, including carrier delays, customs processing, weather, transportation disruptions, incorrect delivery information, or other events.

Where required by applicable law, we will provide customers with applicable rights or remedies if an order cannot be shipped within the required or agreed period.

Customers are responsible for providing a complete and accurate delivery address.

11. Returns, Exchanges and Refunds

Returns, exchanges, order cancellations, and refunds are governed by the Return & Refund Policy published on the Site, together with any specific conditions disclosed for the product at the time of purchase.

Certain products, including customized or made-to-order items, may be subject to different return or cancellation conditions where permitted by applicable law.

If applicable consumer law provides you with rights beyond our published Return & Refund Policy, those mandatory rights remain unaffected.

You may have the opportunity to submit reviews, photographs, comments, feedback, suggestions, or other content ("User Content").

• Does not impersonate another person.

• Product photography
• Website graphics
• Written product descriptions
• Blog content
• Videos
• Original designs
• Layouts
• Marketing materials
• Text and other Site content

Access to the Site does not transfer ownership of this intellectual property to you.

You may use the Site for personal, non-commercial shopping purposes.

You may not reproduce, distribute, sell, commercially exploit, modify, republish, or create unauthorized derivative works from our protected content without prior written permission, except where applicable law permits such use.

14. Third-Party Services and Links

To the fullest extent permitted by applicable law, KARAHOME Solutions, Inc., Bani Rugs, and our directors, officers, employees, affiliates, agents, contractors, and service providers will not be liable for indirect, incidental, special, punitive, or consequential losses resulting from your use of the Site or Services where such liability may legally be limited.

Where our liability cannot legally be excluded, it will be limited only to the maximum extent permitted by applicable law.

Nothing in these Terms limits liability where doing so would be prohibited by law, including any applicable liability for fraud, willful misconduct, or other liability that legally cannot be excluded or restricted.

21. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless KARAHOME Solutions, Inc., Bani Rugs, and our officers, directors, employees, affiliates, agents, and service providers from third-party claims, liabilities, damages, and reasonable expenses arising from:

• Your unlawful use of the Services.

• Your infringement of another person's rights.
• User Content you submit in violation of these Terms.

This section does not require a consumer to indemnify us for our own unlawful conduct or for liability that applicable law does not permit us to transfer.

Bani Rugs may make products available to customers in the United States, Canada, Europe, and other supported destinations.

Customers outside the United States may have mandatory consumer rights under the laws of their country or region.

Nothing in these Terms is intended to eliminate or reduce rights that cannot legally be waived by contract.

Except where mandatory consumer law provides otherwise, these Terms and your use of the Services are governed by the laws of the State of New York, United States, without regard to principles concerning conflicts of laws.

If you are a consumer located outside New York, this choice of law does not deprive you of mandatory consumer protections that apply to you under applicable law.

Changes will apply prospectively except where applicable law permits otherwise.
